    What Shapoorji Pallonji said on Tata Sons' listing and why he wants it to be a ‘bridge’

His statement comes as Tata Trusts and chairman Noel Tata oppose the listing, with Mistry urging stakeholders to treat it as an opportunity for reconciliation.

    Shapoorji Pallonji Group Chairman Shapoorji Pallonji Mistry has backed the public listing of Tata Sons, calling it a “social and moral imperative” and saying it could strengthen transparency, accountability and philanthropy at one of India’s most consequential business institutions.



    His statement comes as Tata Trusts, Tata Sons’ largest shareholder, and its chairman Noel Tata oppose the company’s listing.



    In a statement released on Friday, Mistry said the public listing should not be viewed as a contest between stakeholders, but as an opportunity to bring the Tata group’s shareholders and Trusts together.


    ‘The path forward is clear’

    Mistry’s statement followed the Reserve Bank of India’s decision on Tata Sons’ regulatory status. He welcomed the decision and said the central bank had provided clarity on the company’s obligations under the RBI’s Scale-Based Regulatory Framework.



    “Tata Sons had been classified as an Upper-Layer NBFC under the RBI’s Scale-Based Regulatory Framework, and the prescribed listing route followed from that regulatory architecture,” he said.



    “With the RBI having rejected the application to surrender its registration and directing Tata Sons towards the necessary compliance at the earliest, the path forward is clear.”



    Mistry said the listing could serve as “a bridge” between shareholders and the Trusts, private heritage and public accountability, and different generations of stewardship.



    “This landmark decision should not be viewed as a victory of one stakeholder over another. It should be viewed as an opportunity to bring people and institutions together,” he said.

    A stronger Tata Sons, deeper philanthropy

    Mistry said a publicly accountable Tata Sons could broaden participation, improve governance, give investors greater visibility into value and support a more robust and equitable dividend policy.



    “Most importantly, it can strengthen the capacity of the Tata Trusts to pursue their philanthropic responsibilities over generations,” he said.



    He also set out an ambition for the Tata Trusts to become one of the world’s largest and most consequential philanthropic institutions over the next five years, measured not only by the size of their corpus but also by the scale and permanence of the public good they create.



    “A stronger Tata Sons, operating transparently and responsibly, can help make that ambition possible through sustained enterprise growth and a durable flow of value towards philanthropy,” Mistry said.



    He said Tata Sons should evolve into “a modern, globally respected and publicly responsible holding institution” that creates value for shareholders, respects stakeholders and keeps philanthropy and the national interest at the centre of its long-term decisions.



    Mistry also appealed to Tata Sons, the Trusts, shareholders, employees and other stakeholders to approach the listing in a spirit of harmony.



    “Let us not allow the listing to become even a minor point of division. Let us use it as a bridge. Let us make it an opportunity for reconciliation, renewal and a stronger institutional future,” he said.



    The Shapoorji Pallonji Group, he added, was ready to work constructively with Tata Sons and deepen its relationship with the Tata institution.



    “For me, the principle has always been simple. Our nation comes first,” Mistry said. “The objective is not victory for one side. The objective is a stronger Tata institution, stronger philanthropy, greater accountability, deeper partnership and, ultimately, greater service to India.”
