Mumbai: HDFC Bank's board and nomination and remuneration committee (NRC) face a difficult task choosing a successor to exiting chief executive Sashidhar Jagdishan, age 61, due to a relatively thin internal leadership pipeline, analysts said.
People familiar with the matter said the board is expected to appoint a global executive search firm this week, with Egon Zehnder, Spencer Stuart and Korn Ferry in the race for the mandate.

Deputy managing director Kaizad Bharucha is expected to feature prominently given his long association with the bank. But the 15-year regulatory cap on the continuous tenure for whole-time directors means Bharucha, appointed executive director in June 2014, would hit the ceiling in June 2029 and would not be able to complete a full three-year CEO term after Jagdishan retires in October.

"While Bharucha's institutional knowledge and execution credentials could provide valuable continuity, a short tenure would risk deferring rather than resolving the succession question," said Suresh Ganapathy, managing director, Macquarie Capital. "Until the board provides greater clarity on its preferred candidate and transition framework, leadership uncertainty is likely to keep the stock range-bound."

The constraint due to the Reserve Bank of India (RBI) regulations on directorial stints could push the board toward a wider external search.
Analysts say that the board could look at candidates from other private banks, large NBFCs and foreign-bank chiefs.
They bring global banking and risk-management experience into the equation for a lender that's traditionally a firm favourite with overseas funds, and recently raised a record $1.75 billion from foreign investors in the biggest bond issue by a local lender since the subprime crisis.
Analysts also see Jagdishan's exit as an opportunity for a broader reset after recent governance concerns at the lender.
"We view this as a good development since it removes the more negative, feared scenario of the RBI limiting the next term to just one or two years – an outcome that would have amplified governance-related concerns at the bank following a recent series of events," said Pranav Gundlapalle, head of India financials at Bernstein. "It provides a convenient, natural opportunity for the incoming CEO and CFO to reset the narrative for the bank, which has, among other things, struggled to set and deliver on clear investor expectations."
Ratings agencies said HDFC Bank's franchise and financial strength should cushion the transition risk.
"While leadership changes at systemically important banks can create uncertainty around strategy execution and risk management, HDFC Bank's strong franchise, deep senior management bench and one of the strongest financial profiles among Moody's-rated banks in India mitigate these risks," said Devang Rajkotia, AVP, Moody's Ratings.
