Chandrasekaran's succession, RBI ruling on IPO listing to likely dominate Tata Sons’ Sept 17 meeting

The Tata Sons board is set to meet in Mumbai on September 17, with three key issues likely to dominate the discussions — the impact of the Reserve Bank of India's decision on the holding company's regulatory status, the succession of chairman N Chandrasekaran and a continuing governance impasse at one of the two principal Tata Trusts, according to PTI.
The RBI last week rejected Tata Sons' application to surrender its registration as a non-banking financial company (NBFC). The holding company had applied in March 2024 after strengthening its balance sheet, including by repaying more than Rs 21,000 crore of debt, in an effort to exit the regulatory framework that would otherwise require it to list on stock exchanges.

The RBI's decision has changed the dynamics around the long-running listing question and could come up for discussion at the September 17 board meeting, people familiar with the matter said, according to PTI.
Noel Tata, chairman of Tata Trusts, has opposed a potential listing of Tata Sons. He had reportedly made opposition to the listing one of his pre-conditions in February this year for supporting the renewal of Chandrasekaran's term as chairman. Some veteran former employees of the Tata Group have also backed his position.
Tata Trusts collectively control about 66 per cent of Tata Sons, while the Shapoorji Pallonji Group owns around 18 per cent and has favoured a listing.
Following the RBI's rejection, the listing issue may effectively become moot unless the Trusts decide to legally challenge the regulator's decision, sources said.
The question of leadership has added another layer to the uncertainty.
Chandrasekaran, who is widely known as Chandra, informed the Tata Sons board in August that he would not seek a third term when his current tenure ends in February 2027. His decision was communicated before the RBI ruling, altering the circumstances around both issues.
With a potential listing now back in focus, an investment banker said continuity of the management team, including the chairman, would be an important consideration for the board. Potential investors would seek such assurances if Tata Sons were to embark on a listing journey.
There is also speculation that the Nomination & Remuneration Committee could ask Chandrasekaran to reconsider his decision and seek a third term. Sources said the September 17 meeting could discuss both the RBI directive and the possibility of another term for the incumbent chairman.

Succession process faces a Tata Trusts roadblock
The search for Chandrasekaran's successor is also becoming complicated because of the continuing impasse at Sir Ratan Tata Trust (SRTT), one of the two principal Tata Trusts.
Sir Dorabji Tata Trust (SDTT), which owns 27.98 per cent of Tata Sons, said on August 13 that it respected Chandrasekaran's decision not to seek a third term and had begun the process of constituting a selection committee to recommend the next chairman.
SRTT, however, which holds about 23.56 per cent of Tata Sons, is currently unable to convene meetings of its trustees because of proceedings before the Maharashtra Charity Commissioner.
The Charity Commissioner of Mumbai has restrained SRTT, which holds a 23.5 per cent stake in Tata Sons, from conducting any meetings following complaints received by the office.
The impasse has already had consequences for Tata Sons' governance. Its August 18 annual general meeting had to be adjourned after the two principal Trusts could not jointly nominate a representative.
Under Tata Sons' Articles of Association, the chairman selection committee comprises five members — three jointly nominated by SDTT and SRTT, one nominated by the Tata Sons board and an independent outside member selected by the board.
The requirement for SDTT and SRTT to jointly nominate three members means the continuing dispute at SRTT could make it difficult to constitute the committee and advance the succession process.
Listing remains a contentious issue
The potential listing of Tata Sons has long been a divisive issue within the Trusts, with no unanimous position among trustees. Veteran trustees Venu Srinivasan and Vijay Singh have personally expressed support for a listing.
The RBI ruling presents Noel Tata with a significant challenge if the Trusts seek to pursue the matter further, a market commentator said. Any legal challenge would require him to prevail over the Tata Sons board, while the board taking on the regulator could also be closely watched by the markets and globally, the commentator added, according to PTI.
Sources told PTI that at least one of the issues — the RBI directive and the question of another term for Chandrasekaran — may not have been on the board meeting agenda as recently as last week. The dynamics within the Tata Group, however, have changed significantly since then.
A listing of Tata Sons would represent a fundamental shift for the holding company of one of India's oldest and largest business groups. Tata Sons holds significant stakes in listed and unlisted Tata companies across information technology, automobiles, steel, consumer products, aviation, hospitality and financial services.
It would also subject Tata Sons' finances, investments and capital allocation to greater public scrutiny. As a listed holding company, it would face regular disclosure requirements and greater pressure from public shareholders for greater clarity on the value of its investments and returns on capital.
The September 17 board meeting, therefore, comes at a particularly consequential point for Tata Sons, with the regulatory question, the future of its chairman and the unresolved Trusts governance issue now converging.
